1.1 Ar-La Cleaning Products B.V.

The Ar-La Cleaning Products B.V. offered products, advice and assignments thereof fall under the provisions of these general terms and conditions.
1.2 All offers, quotations, order confirmations and agreements as well as the performance of work are carried out exclusively under these General Terms and Conditions.
1.3 These General Terms and Conditions prevail over any terms and conditions used by the client, unless explicitly agreed otherwise in writing. By giving an order for the execution of work, the client agrees to the applicability of these terms and conditions.

Article 3 Prices
3.1 The agreed price will be charged for the performance of work.
3.2 In the event of changes in price-determining factors after the offer or after the conclusion of the agreement, Ar-La Cleaning Products B.V. reserves the right to pass on these changes to the client. The price set in an agreement with a duration of more than 12 months can be increased every 12 months.
Article 4 Payment
4.1 Unless otherwise agreed, payment must be made net, without discount or deduction, within 30 days of the invoice date. Without prejudice to the transfer of this payment term, interest is due from the invoice date equal to the statutory (commercial) interest applicable at the time of the invoice date.
4.2 Ar-La Cleaning Products B.V. has the right at all times before the execution of the agreement or a part thereof, to demand cash payment or a deposit in advance on a by Ar-La Cleaning Products B.V. IBAN number to be designated.
4.3 In the event of sale, Ar-La Cleaning Products B.V. at all times the right to demand full payment before the time of delivery.
4.4 Any costs of collection will be fully at the expense of the client.
Article 5 Complaints
5.1 Complaints about the execution or the quality of the agreed sale must be made in writing within 8 days after that execution, failing which any right of the client in this regard will lapse, unless otherwise agreed in writing.
5.2 As long as a complaint by Ar-La Cleaning Products B.V. has not yet been decided, the client is obliged to fulfill his obligations.
Article 8 Force majeure
8.1 If non-compliance with the agreement is due to one or more of the following causes: war, revolution, disruptions in the regular supply of raw materials and auxiliary materials, water and electricity, strikes, business occupation, fire, transport difficulties, the non-compliance will be deemed be the result of force majeure.
Article 9 Right to terminate the agreement
9.1 The agreement can be terminated if:
Is declared bankrupt or has been requested to do so.
If a moratorium has been granted to the other party.
If movable or immovable property of the other party has been seized.
If the client dies or is placed under guardianship.
If the client does not comply with the agreement or fails to pay within the time applicable in this agreement.
Article 10 Guarantees and liability
10.1 Notifications by or on behalf of Ar-La Cleaning Products B.V. concerning the quality, properties of the means used, etc., only constitute a guarantee if they are made in writing and expressly in the form of a guarantee.
10.2 Ar-La Cleaning Products B.V. is never liable for damage in any form whatsoever, unless there is gross negligence or intent. The burden of proof of this rests with the client.
10.3 Client indemnifies Ar-La Cleaning Products B.V. for any claims from third parties who suffer damage in connection with the performance of the agreement and which is attributable to the client.
10.4 Any liability is further limited to the amount that is paid out in the relevant case by our (environmental) damage insurance that Ar-La Cleaning Products B.V. has concluded on behalf of its clients.
10.5 When selling products, Ar-La Cleaning Products B.V. that these are allowed in the Netherlands. Ar-La Cleaning Products B.V. depends on the information obtained from the supplier or producer of the products CCP International and the authorizations of the products within the Netherlands of which Ar-La Cleaning Products B.V. has the selling rights. Article 11 Delivery, delivery times, transfer of ownership and reservation

11.4 The ownership of the products concerned will only transfer to the buyer at the time when Ar-La Cleaning Products B.V. has received full payment of the amount invoiced in respect of those products.
11.5 All by Ar-La Cleaning Products B.V. delivered goods remain property until the other party fulfills all its obligations with regard to this agreement, the written agreements that have been agreed in the meantime.
11.6 The client is obliged to set aside or store the delivered items in such a way if the products are reclaimed on the basis of the retention of title, or to make them immediately available at whatever location the products may be located. The client will be charged an immediately payable fine if the client cannot comply with the above
Article 12 Cancellation and termination
12.1 The terms and conditions that the client has signed between the parties for the performance of the assignment are leading.
Article 13 Change and location of the conditions

Article 14 Competent court and applicable law
14.1 Any disputes between Ar-La Cleaning Products B.V. and the client who cannot reach an amicable settlement will be submitted to the competent court in the competent district to which Dutch law applies.
